Club Regulation

1. Purpose and Scope

1.1. This Regulation establish the rules governing access, use, features and services of the MEO SGPS, SA Supplier Club ("Supplier Club").

1.2. This Regulation apply to any Supplier registered with the Supplier Club, as described in paragraph 3 below.

1.3. This Regulation do not preclude the application of any legal rules, or any other conditions set by MEO SGPS, SA, or other public entities, to access and / or use the Supplier Club or any features / services / initiatives contained therein ("Services").

1.4. This Regulation must be fully complied with, so if the supplier does not agree with any of its terms, at any time, it should request the cancellation of the respective registration in the Suppliers Club

2. Description of the Supplier Club

MEO SGPS, SA, directly or through its affiliates, manages the Supplier Club, with the purpose of ensuring the relationship between itself and its potential suppliers, by favouring the systematic exchange of information about contacts, products and services of existing and potential suppliers, and centralize all activity of market prospecting and consultation and acquisition of products and services for MEO SGPS, SA.

3. Membership Conditions

Any entity who wishes to establish a commercial relationship with MEO SGPS, SA as a supplier, may apply for membership in the Supplier Club.

In that case, candidates should access the Supplier Club website and:


(i) Register their Company, providing all information and fulfilling all the required conditions;

(ii) Pay an annual subscription maintenance fee (“Annuity”) in accordance with the prevailing conditions

4. Cancellation of Registration

4.1.The supplier may, at any time, request the cancellation of its registration in the Supplier Club, through the contacts available on the website.

4.2. At the sole discretion of the MEO SGPS, SA Supplier Club management entity, the supplier registration may still be canceled in the following cases:

(i) Failure to pay the Annuity amount;

(ii) Serious failure to comply with Supplier Club rules;

(iii) Supplier’s cease of activity;

(iv) Supplier Club Termination.

5. Terms of Use of Supplier Club

5.1. The supplier hereby undertakes to comply with applicable legal and regulatory provisions, as well as MEO SGPS, SA policies, manuals and guidelines, including the Social Responsibility Code of Conduct, the Information Security Policy and its Infrastructure Security Policy, as well as other documents available on the Legal Requirements Policies and Good Practices page of the Club website.

Regarding, specifically, ANACOM’s Regulation No. 303/2019 on the security and integrity of networks for electronic communications services, which was published in the Diário da República, 2nd Series, No. 64, on 04/01/2019, and if the same is applicable, your Company must be considered obliged to the duty of collaboration provided for in article 29 of the said Regulation, namely through your Company´s availability to attend meetings with ANACOM (the Portuguese regulatory authority for the electronic communications sector) and to provide clarifications requested by that Authority within the scope of that Regulation, which will be based on the services contracted with your Company (in case of award), related to the level of security of networks and services.

5.2. The Supplier ensures that it has implemented a Business Continuity Planning that safeguards the adequate and timely fulfillment of its contractual obligations.

5.3. The supplier undertakes to make a responsible, prudent and careful use of the Suppliers Club, refraining from disturbing or degrading the continuity, integrity and quality of its features and functionality. The Supplier further undertakes not to use the Suppliers Club in a manner that is likely to violate the rights of MEO SGPS, SA.

5.4. The supplier is responsible for updating the information contained in his registration with the Suppliers Club. Thus, MEO SGPS, SA is not responsible for any damages or injury caused by the incorrect identity of suppliers and the lack of veracity, validity and authenticity of their data.

5.5. MEO SGPS, SA reserves the right, at any time, to readjust or update/change the documents available on the Club website, being obliged to consult them periodically.

6. Copyright and Intellectual Property

6.1. The Suppliers Club is owned by MEO SGPS, SA, and its contents, including brands, design, logos, images, photographs, videos and software presented or displayed therein are protected under the laws of Portugal, the European Union or international conventions on intellectual property rights or related rights of MEO SGPS, SA companies or third parties.

6.2. The supplier may not, under any circumstance, copy, import, use or exploit, directly or via a third party, any of the items included in the Suppliers Club, whether for commercial use or not, without the prior written authorization of MEO SGPS, SA or the third party owner of such rights.

6.3. Any attempt to change information, upload of information or any other action that may cause damage and put at risk the integrity of the system, is strictly forbidden and may be punishable by law.

6.4. MEO SGPS, SA reserves the right to, at any moment, take all necessary measures - including restrictions or access limitations, to ensure the integrity and safety of the Suppliers Club or to prevent the loss, misuse or modification of the content therein.

7. Responsibility

7.1. It is the intention of MEO SGPS, SA to keep all information contained in the Suppliers Club permanently updated, and to make its best efforts to correct all reported errors.

7.2. Without prejudice to the provisions of paragraph 7.1, MEO SGPS, SA warns that the information available at the Suppliers Club is: (i) not necessarily comprehensive, updated or strictly accurate, (ii) is sometimes linked to external sites over which it has no control or responsibility.

7.3. The content present in the Suppliers Club should not be read as advice or suggestion, nor does it establish any contractual relationship between the parties. MEO SGPS, SA is not liable for any loss or damage suffered by any Supplier, for the information contained in the Club.

7.4. MEO SGPS, SA will make its best efforts to minimize any inconvenience caused by technical failures or errors. However, certain information or other content contained in the Suppliers Club may have been created or developed in files or formats that are not free of errors, which may cause interruption or disruption in the access to its site. MEO SGPS, SA is not responsible for any failure that is attributable to third parties that block, restrict or prevent access or use of the Suppliers Club.

7.5. The use of content made available or downloaded by, or through the Suppliers Club, is in the Supplier’s sole responsibility. MEO SGPS, SA is not responsible for any damage and / or loss, including loss of data and information, resulting from its use. If the Supplier has doubts regarding compatibility or authenticity of such content, he should not download or use it, and should contact MEO SGPS, SA using the contacts provided on the homepage.

7.6. If the information on the Suppliers Club differs, to some extent, from the official information provided by MEO SGPS, SA in paper, the latter shall prevail.

8. Processing of Personal Data

8.1. Personal data provided by suppliers will be processed by MEO SGPS, SA, for the purpose of managing supplier contacts and centralizing the activity of market prospection and consultation and acquisition of products and services for MEO SGPS, SA companies. MEO SGPS, SA undertakes to process and use personal data received from anyone who accesses or uses this site in accordance with applicable law, namely the General Data Protection Regulation (RGPD).

8.2. Each supplier may only consult the information entered by itself in the Supplier Club, ensuring that MEO SGPS, SA has security mechanisms in place to protect the personal data communicated to it. However, due to the nature of the collection of this data on the open network if, upon access by the Supplier, it does not have the necessary protection barriers (antivirus, firewall, antispyware, etc.), when browsing the Internet the personal data provided may be seen and used by unauthorized third parties.


8.3. The owner of the data included in the Suppliers Club may exercise his rights provided for in the RGPD namely access, rectification or deletion of his personal data by written communication sent to MEO SGPS, SA, according to the MEO SGPS, SA Personal Data Protection Policy available on the respective institutional website.


8.4. By signing up and becoming a member of the Supplier Club, the supplier automatically consents the processing of personal data which he makes available within the framework and declares that he has fulfilled all applicable legal obligations regarding privacy and data processing rules, including any obligation regarding data subjects.

9. Amendments to the Regulation

MEO SGPS, SA reserves the right, at any time, to amend and / or update, in whole or in part, this Regulation, in any case being made available on the Suppliers Club website the updated version thereof.

10. Law and Jurisdiction

10.1. This Regulation is governed by Portuguese Law.

10.2. Questions arising as to the interpretation, implementation or application of the rules contained in the Regulation and which are not settled by agreement between the parties shall be settled by the Lisbon District Court, with express waiver of any other.
